MEMBERSHIP AND TERMS OF USE

Rabais Routiers Canada inc.

Last revised: October 30, 2026

Article 1 — Description of the group

Rabais Routiers Canada inc. is a purchasing group for transportation companies, owner-operators, self-employed workers, drivers and employees.

Rabais Routiers negotiates preferred rates and exclusive benefits with partner suppliers for the benefit of its eligible members.

Discounts and benefits are subject to the particular conditions of the participating partners.

Memberships in the "Company" and "Self-employed worker" categories are intended for the member's commercial activities. A person who takes out a membership in the name of a company declares that they are authorized to bind that company and to accept these terms on its behalf.

Memberships taken out personally by drivers are governed by these terms, subject to the legal provisions that apply to their situation.

No provision of these terms limits a right that the law prohibits a person from waiving.

Article 2 — Member categories, fleet declaration and fees

Rabais Routiers offers different membership categories for transportation companies, owner-operators, self-employed workers, drivers and eligible employees.

The applicable rates, membership durations and payment terms are presented to the member during online registration, before the membership is confirmed.

Declaration of the number of trucks

When registering, every company or owner-operator must declare the total number of trucks in its fleet. The applicable fee is based on that number, according to the pricing presented before the membership is confirmed. The declaration must be complete, accurate and consistent with the company's actual situation.

The member must inform Rabais Routiers Canada inc. of any truck added to its fleet during the membership period so that the applicable fees can be adjusted. The fees for adding trucks, and how they are calculated, are presented to the member before the addition is confirmed. Adding a truck does not change the expiry date of the current membership.

If a declaration is inaccurate or incomplete, Rabais Routiers may request the information needed to verify the number of trucks and claim the additional fees that apply under the agreed pricing.

Before suspending benefits for this reason, Rabais Routiers sends the member a written notice stating the discrepancy found, the information or amounts requested, and a period of fifteen (15) days to correct the file. If the file is not corrected within that period, benefits may be suspended until it is corrected.

Reduction in the number of trucks

When a member sells one or more trucks or reduces its fleet during the membership period, fees already paid for those trucks remain non-refundable and do not give rise to any credit or retroactive adjustment, subject to mandatory rights under applicable law.

The member is not required to report the sale or removal of a truck during the membership period.

For the reduction to be taken into account at the next renewal, the member must update the number of trucks on file, in the member area or by contacting Rabais Routiers, before the automatic renewal date. Otherwise, the renewal is carried out according to the number of trucks already on file.

Eligibility for discounts

Fuel discounts are reserved exclusively for companies and self-employed workers who hold an eligible membership.

Other member categories receive the applicable benefits, excluding fuel discounts.

Article 3 — Membership term

Rabais Routiers offers memberships for a term of one (1), two (2) or three (3) years.

The membership period begins on the activation date and ends on the expiry date stated in the membership confirmation and recorded on the member's file. That date is also shown on the virtual card, subject to the card being updated.

Benefits are available during the period in which the membership is valid, subject to the program conditions.

Article 4 — Automatic renewal of the membership

For memberships taken out for commercial purposes by a company or a self-employed worker, the membership is renewed automatically at its expiry for a period equal to the current term, namely one (1), two (2) or three (3) years, unless a new term has been expressly agreed with the member before the renewal. The term so agreed also applies to subsequent renewals, unless a further change is expressly agreed. The automatic renewal and the corresponding payments must have been authorized by the member in advance.

The renewal is carried out for the same number of trucks as the number on the member's file, unless a change was recorded before the renewal. The member is responsible for checking and updating the fleet information in the member area or by contacting Rabais Routiers before the renewal date. Additional employee cards that are billed are also renewed according to the quantity on file, unless a change was recorded before the renewal.

Rabais Routiers sends the member a written renewal notice between the 90th and the 60th day before the membership expiry date. The notice states the renewal date, its duration, the number of trucks used, the number of additional employee cards billed, if any, the amount of the applicable fees, the payment terms and the procedure for turning off automatic renewal.

If a change to the number of trucks, the number of additional cards or the membership term is recorded after the renewal notice is sent, Rabais Routiers sends the member a confirmation of the updated parameters and the revised amount before the charge is made.

Unless the renewal is changed or automatic renewal is turned off before the renewal date, the announced fees are charged according to the payment method the member previously authorized, subject to applicable legal requirements.

The member may turn off automatic renewal at any time before it is carried out, at no charge and without penalty, in the member area or by contacting Rabais Routiers at the contact details shown on the website. Turning it off prevents the next renewal and subsequent renewals until the member turns the option back on.

Turning off automatic renewal does not end the current membership period and does not, by itself, entitle the member to a refund of that period. Any request concerning a period that has already been renewed is handled in accordance with Article 6 and applicable law.

Rabais Routiers may refuse a renewal for an objective reason related to the member's eligibility or to a breach of these terms that has not been corrected. The reason is communicated to the member, and no fee is charged for the period that is not renewed.

For memberships taken out personally by drivers, the renewal terms are presented separately before they are accepted and must comply with the legal provisions that apply to their situation.

Article 5 — Activation and proof of membership

The initial membership is activated immediately when payment is confirmed. When a renewal is confirmed and paid before the current period expires, the new period begins when the current period ends, without reducing the time remaining on it.

After the membership is activated, the member receives an electronic confirmation and a virtual card that can be saved in the digital wallet (Wallet) of their mobile device.

The virtual card and the confirmation email are the documents that prove the member's membership to participating partners.

A membership is valid according to its expiry date, the program conditions, and any revocation, cancellation or termination that applies under these terms or the law.

On the effective date of a cancellation, termination or revocation of the membership, the corresponding proof documents no longer give access to the benefits, even if a later expiry date appears on them.

A partial refund or a billing correction does not, by itself, end the membership, unless the member is expressly told otherwise.

The member acknowledges that a virtual card saved in a digital wallet may remain displayed on their device, in particular if automatic updates have been turned off or the device is not connected to the Internet. The presence or display of the virtual card confers no right if the corresponding membership has been revoked, cancelled or terminated.

Possession of an expired, falsified or revoked card, or of a card used without authorization, gives no right to the discounts.

The member must stop using and presenting proof documents for a membership that is no longer valid.

Article 6 — Fees and refund policy

Subject to applicable legal provisions that cannot be waived, fees are non-refundable after the membership is activated.

No refund, credit, prorating or adjustment is granted solely because the member does not use the benefits, uses them less than expected, reduces its fleet or ceases operations during the membership period.

This policy applies to initial and renewed memberships with a term of one (1), two (2) or three (3) years, and to fees for trucks and additional cards.

This policy does not prevent the correction of a payment charged twice or in error, nor rights and remedies that apply if Rabais Routiers fails to meet its obligations.

This policy does not limit cancellation, termination or refund rights that cannot be excluded under applicable law.

Turning off automatic renewal does not, by itself, entitle the member to a refund of a period that has already been paid.

Article 7 — Electronic communications and E-Blasts

The Rabais Routiers program is based in particular on commercial agreements with partners who grant preferred rates and benefits to members. In return, Rabais Routiers offers those partners visibility among its members by distributing promotional offers, news, commercial information and advertising.

These communications, including E-Blasts, are part of how the group operates and help maintain and develop the benefits offered to members. The member is informed of this feature before joining and is encouraged to remain subscribed in order to see partner offers.

Rabais Routiers may send these communications by email or text message (SMS), in compliance with applicable law. When the member's consent is required, it is collected separately from these terms.

The member may unsubscribe from promotional communications using the mechanism provided in the messages. Unsubscribe requests are handled in accordance with applicable legal requirements and time limits. Unsubscribing does not, by itself, cancel the membership or cause the loss of benefits.

Administrative communications required to manage the membership, including confirmations, invoices and renewal notices, remain separate from promotional communications.

Article 8 — Employee and driver cards

Employee membership cards are issued in the name of the company that paid for their membership and are marked "Employee". They do not show the name of the employee who uses them.

The company may reassign an employee card to another employee during its period of validity, without changing its expiry date. Each card is intended for use by one person at a time. When a card is reassigned, the company must make sure the previous holder stops using it and deletes any copy in their possession, including in their digital wallet.

If the company does not reassign the card, it may continue to be used by its holder until its expiry date, even after that person leaves the company, subject to the other provisions of these terms.

Rabais Routiers Canada inc. does not verify that the employment relationship continues or the identity of employee-card holders. The company is responsible for managing how the cards are assigned and reassigned.

Cards of drivers who have personally taken out a membership are issued in their name and are reserved for their personal use. They remain valid until their expiry date, except where suspension, cancellation or termination applies under these terms or the law.

Membership cards may not be reproduced, resold or used fraudulently.

Article 9 — Verification by partners

Partners may request valid proof of membership and, if they have doubts about its authenticity, its expiry or its authorized use, may ask Rabais Routiers for confirmation according to the procedures set out in their respective agreements.

Rabais Routiers does not require systematic electronic verification of every transaction.

Access to the group's administrative tools remains reserved for authorized persons.

The verification conditions specific to each partner may be set out in the applicable commercial agreements.

Article 10 — Availability of discounts, account opening and partner responsibilities

10.1 — Partner discounts and benefits

Preferred rates, participating suppliers and the benefits offered may change during a membership term.

Discounts remain subject to each partner's eligibility criteria, commercial terms and particular conditions.

Rabais Routiers Canada inc. does not guarantee a minimum amount of savings to its members.

10.2 — Opening accounts with fuel partners

Access to fuel discount programs requires an account to be opened, or eligibility for an account, with the fuel partner concerned.

Account-opening requests, and their review, approval or refusal, are the exclusive responsibility of the fuel partner.

Rabais Routiers Canada inc. has no decision-making authority over whether an account-opening request is accepted and does not guarantee its approval or the credit terms granted.

Activation of the membership is not confirmation that a fuel account has been opened or that preferred rates have been activated with the partner concerned.

10.3 — Declaration of existing accounts at the time of membership

When joining, a member who wishes to receive fuel discounts must indicate, in the registration form, whether they already have an account or a fuel card with one of the group's fuel partners, including Harnois, Esso or Irving.

For each partner with which the member already has an account, the member must select that partner and enter the number of one of their fuel cards, or provide a legible photograph of it, according to the options offered in the form. This information allows Rabais Routiers Canada inc. to identify the existing account and ask the partner to apply the group's preferred rates.

When the required information is complete, Rabais Routiers sends the request to link the account to the program to the partner concerned within a reasonable time. That transmission is not confirmation that the rates have been activated, which remains the partner's responsibility.

A member who does not have an account with the chosen partner must complete the account-opening request form available on the Rabais Routiers website. Approval of the account and application of the rates are the responsibility of the partner concerned.

The member is responsible for providing accurate and complete information when joining. Rabais Routiers Canada inc. cannot be held liable for a failure to apply discounts when that failure results directly from the member's omission to declare an existing account, to select the partner concerned, or to provide the requested card number or photograph, subject to applicable law.

In that situation, the member cannot claim compensation from Rabais Routiers Canada inc. for discounts not obtained before the required information is received, subject to the rights and remedies provided by law. Sending that information later makes it possible to begin the activation steps, without any guarantee of retroactive application.

The member remains responsible for checking that preferred rates are actually applied on their statements and invoices. This clause does not limit Rabais Routiers' liability for its own faults or breaches where the law does not allow that liability to be excluded.

10.4 — Rate verification and activation of fuel discounts

Application of preferred fuel rates is the responsibility of the fuel partners and of their management and billing systems.

For a new account, as soon as the member receives the first price letter or price list from the fuel partner, the member must contact Rabais Routiers Canada inc. to compare the rates received with those negotiated under the program and to confirm that they are applied.

For an existing account, the member is invited to contact Rabais Routiers as soon as they receive the first price list or invoice after the request to link the account to the program, in order to verify that preferred rates are applied. If the member has received no document that allows this verification, the member is invited to contact Rabais Routiers within five (5) business days after joining in order to follow up on the request.

This period is a recommended follow-up period and does not, by itself, cause the loss of a right or remedy. The member remains responsible for this verification and for reviewing the prices and discounts shown on their invoices and account statements.

10.5 — Pricing errors and adjustments

Each partner remains responsible for the prices, billing and application of discounts that relate to its own operations. Rabais Routiers does not assume errors that are exclusively attributable to the partner, subject to the responsibilities that the law places on Rabais Routiers.

This provision does not exclude Rabais Routiers' liability for its own faults or breaches. When an error is reported, Rabais Routiers undertakes to make reasonable efforts to assist the member in dealings with the partner concerned and to help find a solution.

Any correction, credit or billing adjustment remains subject to the verification and procedures of the responsible partner.

Rabais Routiers cannot guarantee that a refund, credit or retroactive adjustment will be obtained.

10.6 — Changes to programs

Partners may change their rates, eligibility criteria or commercial conditions in accordance with the applicable agreements.

Rabais Routiers endeavours to communicate to members the important changes of which it becomes aware, without guaranteeing that a particular rate or benefit will be maintained permanently.

Any contractual change remains subject to applicable legal requirements.

Article 11 — Use of the website

The content of the Rabais Routiers website is provided for information and for management of the program.

Texts, graphic elements and documents belonging to Rabais Routiers are protected by applicable intellectual property rights.

Partners' trademarks and logos remain the property of their respective owners.

Members must use the website services in accordance with these terms.

Article 12 — Protection of personal information

Rabais Routiers Canada inc. attaches particular importance to the protection of the personal information of its members and of visitors to its website.

Rabais Routiers collects the information required for registration, administration of memberships, processing of payments, communications and access to partner benefits.

Information may be disclosed to partners and service providers when this is necessary and legally permitted.

For requests related to fuel programs, the information collected may include the identity of the fuel partner, a card number or a photograph that identifies the account concerned. Only the information needed to process the request should be sent. No PIN or password should be provided.

How this information is used, disclosed, protected and retained is set out in the Privacy Policy.

Article 13 — Acceptance of the terms

Before confirming a membership, the member must accept these Membership and Terms of Use and acknowledge having read the Privacy Policy, using the mechanisms provided in the form.

Authorizations for recurring payments and consents to commercial communications are collected separately, in a clear and distinct manner, in accordance with applicable legal requirements.

These terms do not limit any right that the law prohibits a person from waiving.
